1. Introduction

Welcome to Web Technomatic Pte Ltd (UEN: 202230185C) (“we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of all websites, products, and services provided by Web Technomatic Pte Ltd, including but not limited to neighbourhoodshop.sg, ezrewardcard.com, the Web Tehnomatic AI website builder, and any additional service packages offered in connection with these products.

By accessing or using any of our websites or services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms as well as the specific Terms and Conditions applicable to each individual product or service. If you do not agree to these Terms, please do not use our services.

2. Definitions

“Services” means all software-as-a-service (SaaS) platforms, websites, tools, applications, and additional service packages provided by Web Technomatic Pte Ltd.
“User,” “you,” or “your” means any person or entity accessing or using our Services.
“Subscription” means any paid SaaS plan or package purchased by the User.
“Additional Service Packages” means supplementary services such as setup, configuration, maintenance, consulting, support, or any other services offered by us beyond the standard SaaS subscription.

3. Applicability of Terms

These Terms govern your general relationship with Web Technomatic Pte Ltd. For specific terms governing your use of particular Services, please refer to the respective Terms and Conditions linked below. In the event of any conflict between these Master Terms and the specific product terms, the specific product terms shall prevail for that product.

4. Use of Services

4.1 Eligibility: You represent and warrant that you have the legal capacity to enter into these Terms and to use our Services. You must be at least 18 years old or the minimum age required in your jurisdiction.

4.2 Account Registration: Certain Services require account creation. You agree to provide accurate, current, and complete information when registering an account, and to maintain and promptly update this information.

4.3 Account Security: You are responsible for safeguarding your login credentials and for all activities under your account. Immediately notify us of any unauthorised use.

4.4 Prohibited Conduct: You agree not to:

Use the Services for unlawful purposes;
Interfere with the security or operation of the Services;
Attempt to gain unauthorised access to any part of the Services;
Use automated scripts or bots without permission;
Violate any applicable law or regulation.

5. Additional Service Packages

5.1 We offer additional service packages such as setup, customisation, ongoing support, maintenance, or consultancy which are separate from SaaS subscriptions.

5.2 Such services are governed by individual service agreements or orders outlining the scope, fees, payment terms, delivery timelines, and other relevant details.

5.3 To the extent there is any inconsistency between these Terms and those individual agreements, the individual agreements shall prevail with respect to the particular service.

6. Fees and Payment

6.1 Fees for subscriptions and additional service packages are specified in the respective order forms or subscription agreements.

6.2 Payments shall be made in accordance with the agreed schedule. Failure to pay may result in suspension or termination of Services.

6.3 All fees are non-refundable except as expressly stated in the relevant product or service terms.

6.4 We reserve the right to modify pricing upon reasonable notice.

7. Intellectual Property Rights

7.1 All intellectual property rights in and to the Services (including software, content, trademarks, logos) are owned by Web Technomatic Pte Ltd or its licensors.

7.2 You are granted a limited, non-exclusive, non-transferable licence to use the Services solely as authorised under these Terms.

7.3 You shall not copy, modify, distribute, reverse engineer, decompile, or create derivative works from any part of the Services without prior written consent.

8. Privacy and Data Protection

8.1 Our collection and use of personal data is governed by our Privacy Policy available on each website.

8.2 We collect and process personal data in accordance with applicable data protection laws, including Singapore’s Personal Data Protection Act (PDPA), Malaysia’s Personal Data Protection Act (PDPA), and other relevant privacy laws.

As our Services may be accessed by customers located in various countries, including the United States and the European Union, we also endeavour to comply with international data privacy laws such as the General Data Protection Regulation (GDPR) for EU residents and applicable US privacy laws where relevant.

9.3 We do not guarantee that the Services will meet your requirements or expectations, or that any defects or errors in the Services will be corrected.

9.4 In no event shall Web Technomatic Pte Ltd be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Services, even if advised of the possibility of such damages.

9.5 Our total aggregate liability arising out of or related to these Terms shall not exceed the fees paid by you for the relevant Service in the 12 months preceding the claim.

10. Termination

10.1 We may suspend or terminate your access immediately if you breach these Terms or any specific product terms.

10.2 Upon termination for any reason:

Your right to use the Services ends immediately;
Any outstanding fees become due immediately;
We may delete your data subject to data retention policies described in product terms or privacy policies.

11. Changes to Terms

We reserve the right to update these Terms at any time by posting revised versions on this page with a new effective date. Material changes will be notified via email or prominent notices on our websites where feasible. Continued use after changes constitutes acceptance.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Singapore without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of Singapore courts.

13. Severability

These Terms together with any referenced product-specific terms constitute the entire agreement between you and Web Technomatic Pte Ltd regarding your use of our Services and supersede all prior agreements.
